These Terms of Use ("Terms") are an agreement between you and TalkPaid ("we", "us") covering your use of the TalkPaid app and related services. By downloading or using TalkPaid, you agree to these Terms.
1. What TalkPaid is
TalkPaid turns spoken job details into invoices, estimates, and business records for contractors and service providers. It is a tool that works on your device; you stay in control of your business data as described in our Privacy Policy.
2. License
We grant you a personal, non-exclusive, non-transferable, revocable license to install and use TalkPaid on Apple-branded devices that you own or control, for your own business use, in accordance with these Terms and the App Store rules. You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract the source code of the app, except where the law permits it despite this restriction.
3. Your content and your business
Your jobs, recordings, transcripts, invoices, clients, and related records belong to you. You are solely responsible for what you send to your customers — including the accuracy of amounts, taxes, line items, and any legal requirements that apply to invoices in your jurisdiction.
TalkPaid is not accounting, tax, or legal advice. Generated documents are drafts prepared from your input; review them before relying on them.
4. AI features
AI-generated invoice drafts, document scans, and receipt extractions are produced automatically and can contain mistakes. You must review AI output before sending it to a customer or using it in your records. We are not responsible for errors in AI-generated content that you choose to use.
5. Subscriptions (TalkPaid Pro)
- TalkPaid Pro is an auto-renewing subscription billed to your Apple ID through the App Store (monthly or yearly).
- Your subscription renews automatically unless you cancel at least 24 hours before the end of the current period. Manage or cancel it anytime in your App Store account settings; canceling stops the next renewal but does not refund the current period.
- Prices may change; if they do, the App Store will notify you and, where required, ask you to confirm before you are charged the new price.
- Refunds are handled by Apple under App Store policies.
6. Payments between you and your customers
If you connect Stripe, Square, PayPal, or QuickBooks, or use peer-to-peer options like Venmo, Cash App, Zelle, or Apple Cash, those services are provided by third parties under their own terms and fees. TalkPaid helps you create links and sync records but is not a party to payments between you and your customers, does not hold funds, and is not responsible for disputes, chargebacks, or the acts of any payment provider.
7. Acceptable use
You agree not to use TalkPaid to break the law, to invoice fraudulently, to infringe anyone's rights, to interfere with or overload our servers, to bypass or probe our security measures (including device attestation), or to resell access to our services.
8. Our services
Some features (AI drafting, part search, payment integrations, team sync) depend on our servers and third-party providers. We work to keep them available but do not guarantee uninterrupted service, and we may change, suspend, or discontinue features. Where reasonably possible we will give notice of material changes that affect paid features.
9. Apple App Store terms
These Terms are between you and TalkPaid, not Apple. Apple is not responsible for the app or its content and has no obligation to provide maintenance or support for it. If the app fails to conform to an applicable warranty, you may notify Apple and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing any claims relating to the app, including product liability, regulatory, or consumer-protection claims, or third-party claims that the app infringes intellectual-property rights. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government restricted-party list.
10. Disclaimer of warranties
TalkPaid is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that transcription, AI output, or sync will be accurate, complete, or error-free.
11. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising from your use of TalkPaid. Our total liability for any claim relating to the app is limited to the amount you paid us for the service in the twelve months before the claim arose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12. Termination
You can stop using TalkPaid at any time by deleting the app. We may suspend or terminate access to our server-side services if you materially breach these Terms or use them in a way that harms the service or other users. Sections 3, 9, 10, 11, and 13 survive termination.
13. Governing law
These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules, and any disputes will be resolved in the state or federal courts located there, except where the law of your place of residence requires otherwise.
14. Changes to these Terms
We may update these Terms from time to time. The current version will always be posted here with its effective date, and material changes will be reflected before they take effect. Continuing to use TalkPaid after changes take effect means you accept the updated Terms.
